The scope, timeline, pricing, and deliverables of any project will be defined in writing (email, proposal, invoice, or contract).

We reserve the right to refuse service to anyone for any reason at any time.

2. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information required for your project
  • Ensure you have the legal rights to all content you provide (text, images, logos, videos, etc.)
  • Respond to requests for feedback or approvals in a reasonable timeframe

Delays caused by missing content or approvals may affect project timelines.

3. Payments and Fees

  • All prices are quoted in Canadian Dollars (CAD) unless otherwise stated
  • Payment terms will be specified in your invoice or agreement
  • Deposits, if required, are non-refundable unless otherwise stated in writing

Late or unpaid invoices may result in paused work, withheld deliverables, or suspension of services.

4. Revisions and Changes

Unless otherwise agreed:

  • Reasonable revisions related to the original project scope are included
  • Requests that go beyond the agreed scope may be billed as additional work

Major changes or new features requested after approval may require a revised quote.

5. Intellectual Property

Client Content

You retain ownership of all content you provide to us.

By providing content, you grant DesignBayGuelph a non-exclusive license to use it solely for the purpose of delivering the Services.

Final Deliverables

Upon full payment, you are granted ownership of the final website design and files, excluding:

  • Third-party assets (fonts, plugins, stock media, licenses)
  • Our internal tools, frameworks, or reusable code components

We reserve the right to showcase completed work in our portfolio unless otherwise agreed in writing.

6. Third-Party Services

We may recommend or integrate third-party services such as hosting providers, plugins, analytics tools, or payment processors.

DesignBayGuelph is not responsible for outages, errors, pricing changes, or issues caused by third-party services.

7. No Guarantees

While we aim to create high-quality, effective websites:

  • We do not guarantee increased traffic, sales, rankings, or business results
  • Performance depends on many factors outside our control

All services are provided on an “as-is” and “as-available” basis.

8. Limitation of Liability

To the maximum extent permitted by law, DesignBayGuelph shall not be liable for:

  • Loss of profits, revenue, data, or business opportunities
  • Website downtime, security breaches, or third-party failures
  • Indirect, incidental, or consequential damages

Our total liability shall not exceed the amount paid to us for the specific service giving rise to the claim.

9. Termination

Either party may terminate services with written notice.

Upon termination:

  • Any completed work must be paid for
  • Any unpaid balances become immediately due
  • Access to ongoing services may be revoked

Deposits and completed work are non-refundable.

10. Confidentiality

Any confidential information shared during a project will be kept private and used only for project purposes, unless disclosure is required by law.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

12. Changes to These Terms

We may update these Terms at any time.
Changes will be effective immediately upon posting on this page.

Your continued use of the website or services constitutes acceptance of the updated Terms.
